Matador Resources Company Announces Offering of $700 Million of Senior Notes Due 2026

Matador Resources Company (NYSE: MTDR) (“Matador”) announced today that, subject to market conditions, it intends to offer $700 million of senior unsecured notes due 2026 in a private placement to eligible purchasers. Matador intends to use the net proceeds from the offering to fund a tender offer (the “Tender Offer”) to purchase for cash, subject to certain conditions, any and all of its outstanding 6.875% senior unsecured notes due 2023 (the “Tender Notes”). The Tender Offer is being made pursuant to an Offer to Purchase dated August 7, 2018. Matador intends to use the remainder of the net proceeds for the redemption of any outstanding Tender Notes, a notice of which has been released by Matador on the date hereof, and for other general working capital needs. The offering is not contingent on the consummation of the Tender Offer or the tender of any minimum amount of Tender Notes.

The notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or applicable state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
